Residential Solar Energy System Lease Agreement

(Lease with End-of-Term Ownership Transfer)

This is a representative sample so you can see how our lease works. Your actual agreement is prepared for your specific system and reviewed with you before signing.

1. PARTIES AND PROPERTY

This Residential Solar Energy System Lease Agreement (the “Agreement”) is entered into as of the Effective Date below by and between:

2. THE SYSTEM

Simply Solar will design, permit, install, and commission a solar photovoltaic system at the Property (the “System”), as described in Exhibit A (System Description), consisting of approximately:

  • Solar modules: ______ x ______ W JA Solar all-black modules (25-year product / 30-year performance manufacturer warranty)
  • Inverter: Growatt MIN series, model ______ (10-year manufacturer warranty)
  • Racking, rapid shutdown, monitoring hardware, and balance-of-system equipment per Exhibit A

Estimated Year-1 production: ______ kWh (the “Estimated Production”). The System size and layout in the Customer’s proposal are estimates and are finalized after the site visit; the executed Exhibit A controls.

3. TERM AND PAYMENTS

Term: ______ months (36 / 60 / 84), beginning on the date the utility grants permission to operate the System (the “Commencement Date”).

Monthly Payment: $________ per month, fixed for the entire Term. No down payment is required. The first payment is due 30 days after the Commencement Date.

Total of Payments: $________ (Monthly Payment × number of months in the Term).

Late payments are subject to a late fee of $________ after a 10-day grace period. There is no penalty for early prepayment of the remaining balance.

4. OWNERSHIP; END-OF-TERM TRANSFER

During the Term, the System is and remains the personal property of Simply Solar, notwithstanding its attachment to the Property. Simply Solar may record a UCC-1 fixture filing against the Property to evidence its interest in the System (not a mortgage or lien on the home itself); Simply Solar will terminate the filing promptly upon transfer of title.

End-of-Term Transfer. Upon Customer’s completion of all payments due under this Agreement, ownership of the System transfers to Customer as provided in this Agreement, free and clear of any interest of Simply Solar, together with all assignable remaining manufacturer warranties. Simply Solar will deliver a bill of sale and terminate its UCC-1 filing.

5. PRODUCTION GUARANTEE

Simply Solar guarantees that the System will produce at least ______% of the Estimated Production in each 12-month period following the Commencement Date (the “Guaranteed Production”), adjusted for the expected module degradation schedule in Exhibit A.

If actual production in any 12-month period is less than the Guaranteed Production, Simply Solar will pay or credit Customer the shortfall in kWh multiplied by the Customer’s then-current average utility rate per kWh, within 30 days of the anniversary reconciliation.

The guarantee does not cover shortfalls caused by: utility or grid outages; Customer-caused damage or shading added after installation (e.g., new construction or tree growth); force majeure events; or periods where Customer denied Simply Solar access for repairs.

6. MONITORING, MAINTENANCE, AND SERVICE

For the entire Term, at no additional cost, Simply Solar will provide:

  • Daily remote monitoring of System production with proactive alerting
  • An annual on-site inspection with a written condition report to Customer
  • All repairs and equipment replacement, including full handling of manufacturer warranty claims
  • Monitoring app access for Customer

Customer agrees to provide reasonable access to the Property for installation, inspection, and repairs, and to notify Simply Solar of any suspected damage or malfunction.

7. INSURANCE AND RISK OF LOSS

Customer will maintain homeowner’s insurance on the Property and will list the System on the policy where the insurer requires. Simply Solar will provide documentation reasonably requested by Customer’s insurer. Risk of casualty loss to the System from insurable events at the Property follows the homeowner’s policy; Simply Solar covers equipment failure and workmanship.

8. SALE OR TRANSFER OF THE PROPERTY

If Customer sells the Property during the Term, Customer may either: (a) have the buyer assume this Agreement for the remainder of the Term, subject to Simply Solar’s reasonable approval (not to be unreasonably withheld); or (b) pay off the remaining balance of payments at closing, at which point title transfers to Customer (or the buyer, at Customer’s direction) under Section 4. Simply Solar will cooperate with closing timelines and provide payoff statements within 5 business days of request.

9. DEFAULT AND REMEDIES

Customer default: failure to pay any amount within 30 days of its due date, or material breach of this Agreement not cured within 30 days of written notice. Upon default, Simply Solar may pursue amounts due, and where permitted by law and after any legally required notice and cure periods, may disable or remove the System.

Simply Solar default: failure to perform its service or guarantee obligations not cured within 30 days of written notice. Customer’s remedies include specific performance and offset of documented losses against payments due.

10. WARRANTIES AND DISCLAIMERS

Simply Solar warrants that the installation will be performed in a good and workmanlike manner, in compliance with applicable codes, and warrants its workmanship (including roof penetrations) for ______ years. Equipment is covered by the manufacturer warranties described in Exhibit A. EXCEPT AS EXPRESSLY STATED, THE SYSTEM IS PROVIDED WITHOUT OTHER WARRANTIES, EXPRESS OR IMPLIED. Savings estimates in the proposal are estimates, not guarantees; only the Production Guarantee in Section 5 is guaranteed.

11. GENERAL

  • Governing law: State of Oklahoma; venue in the county where the Property is located
  • Entire agreement: this Agreement and its Exhibits supersede all prior discussions and the proposal
  • Amendments must be in writing and signed by both parties
  • Notices: in writing to the addresses above (email permitted with confirmation)
  • If any provision is unenforceable, the remainder stays in effect
